Welcome to Quelper!

These Terms of Use are a binding contract between you and Quelper LLC. (“we”, “us”, “our”). It contains the rules and restrictions that govern your use of Quelper’s products and services (referred to below simply as “Quelper”). Using Quelper in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use Quelper. These Terms include everything in this document, as well as those in the Privacy Policy, Publisher Agreement, Content Guidelines, and Copyright Dispute Policy. If you don’t agree to all of the following, you may not use or access Quelper in any manner.

You represent and warrant that you are of legal age to form a binding contract. As detailed further below, you may not and must not use Quelper if you are under 18 years old.

If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” throughout this document refer to that organization or entity).

1. The Quelper Marketplace Platform

Quelper is a Platform, Not a Service Provider. Quelper provides an online marketplace that connects Users ("Readers" or "Buyers") who want to purchase services or content with Creators/Pros ("Creators") who want to sell such services or content.

WE DO NOT PROVIDE THE SERVICES LISTED BY CREATORS. WE ARE NOT A PARTY TO ANY TRANSACTION BETWEEN BUYERS AND CREATORS. Any contract for the sale of services or content is directly between the Buyer and the Creator. Quelper is not responsible for the quality, safety, or legality of the services provided by Creators.

2. Creating an Account on Quelper

You may be required to sign up for an account and select a password. You promise to provide us with accurate, complete, and up-to-date registration information about yourself.

You agree that you will only use Quelper for your own personal or organizational use, and not on behalf of or for the benefit of any third party. You may not transfer your account to anyone else without our prior written permission.

You may not select as your Quelper account name a name that you don’t have the right to use, or another person’s name with the intent to impersonate that person. Quelper reserves the right to refuse registration of or cancel a Quelper account name at its discretion.

3. Fees and Payments

Platform Fee (Commission). Quelper charges a Platform Fee of 15% on all transactions processed through the Service. This fee is automatically deducted from the total amount paid by the Buyer/Reader before the funds are transferred to the Creator/Pro. By using Quelper, you agree to this deduction.

Payment Processing. Payment processing services for Creators on Quelper are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Creator on Quelper, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Quelper enabling payment processing services through Stripe, you agree to provide Quelper accurate and complete information about you and your business, and you authorize Quelper to share it and transaction information related to your use of the payment processing services provided by Stripe.

Fee Changes. We reserve the right to change our fee structure at any time. We will provide notice of any fee changes by posting the new fees on the Platform or by sending you an email notification. Continued use of the Platform after the fee change constitutes your agreement to the new fees.

Taxes. You are solely responsible for determining your applicable tax reporting requirements and obligations in consultation with your tax advisors. Quelper cannot and does not offer tax-related advice to any Users or Creators.

3.1 Refunds and Right of Withdrawal

Refunds. Because contracts are concluded directly between Buyers and Creators, refund eligibility depends on the Creator’s stated policy and the nature of the item. Booked services may be cancelled and refunded according to the cancellation terms shown before purchase. Digital content (courses, downloads, episodes) and subscription periods are generally non-refundable once access has been granted, except where a statutory right applies (see below) or required by law. Subscriptions can be cancelled at any time and remain active until the end of the paid period; they are not pro-rated.

EU/EEA Right of Withdrawal. If you are a consumer in the EU/EEA, you normally have the right to withdraw from a purchase within 14 days without giving a reason. For digital content supplied immediately, you expressly request immediate performance at checkout and acknowledge that, once we begin supplying the content, you lose your right of withdrawal (Art. 16(m) Directive 2011/83/EU). For services, if you ask us to begin during the withdrawal period and then withdraw, you may owe a proportionate amount for what was already provided. 4. Creators and Readers

As a Quelper account holder, you are both a Creator and a Reader. As a Creator, subject to the terms of our Publisher Agreement, you can use Quelper to publish content to the web, directly to a list of subscribers that you control, and to our platform. As a Reader, you can use your Quelper account to subscribe to or follow other Creators’ Quelper content.

4.1 On-Platform Delivery and Anti-Circumvention

Quelper is where the value you sell is delivered. To keep buyers safe, keep content moderatable, and protect the integrity of the marketplace, the following rules apply to every paid item, subscription, membership, course, service, and community on Quelper:

  • Deliver on Quelper. All content, materials, lessons, downloads, sessions, and community access that a buyer pays for (or that a subscription or membership unlocks) must be hosted, delivered, and fulfilled within Quelper. You may not gate or unlock access to content or resources hosted off-platform — for example a private Google Drive, Notion, Telegram or Discord channel, external website, or file host — behind a Quelper purchase, subscription, or membership.
  • No off-platform funnels. You may not use Quelper, your profile, listings, communities, or messages to redirect, funnel, solicit, or drive users to subscribe to, purchase from, or access content or services on any external site or platform, or to use Quelper primarily as lead generation for an off-platform offering.
  • No fee circumvention. You may not arrange, encourage, or facilitate payment or delivery outside Quelper in order to avoid the Platform Fee or our payment, escrow, or moderation systems.
  • Why this matters. Content delivered off-platform cannot be moderated by Quelper and can expose buyers to unsafe, misleading, or illegal material. All paid value must therefore stay on Quelper, where it is subject to our Content Guidelines and moderation.

Reasonable, incidental external links (for example, a link to your public social-media profile) are permitted, provided the paid value itself is delivered on Quelper and the link is not a means of circumventing these rules. We may, in our sole discretion, remove offending content, restrict or terminate accounts, and withhold or reverse payouts for violations of this section.

5. Posting Content on Quelper

First and foremost, you own what you create. Any original content you post, upload, share, store, or otherwise provide to Quelper remains yours and is protected by copyright and any other applicable intellectual property laws.

That includes publications, subscriber lists, any other text or photos you upload to your subdomain on Quelper, and any information that you provide to obtain a Quelper username and account. It also includes any comments posted on any current or future discussion board features on Quelper.

Anything posted, uploaded, shared, stored, or otherwise provided through Quelper is referred to as a “Post” in these Terms. There are a few rules that apply to all Posts:

  • Don’t Infringe: Your Posts should not violate someone else’s (including Quelper’s) rights. Don’t copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, commercialize or otherwise exploit for any purpose any content not owned by you unless you have prior consent from the owner of that content.
  • Limited License to Us: In order to display your Posts on Quelper, and to allow other users to enjoy them, you grant us certain rights in your Posts:
  • Operating Quelper: You hereby grant Quelper a license to translate, modify, reproduce, and otherwise act with respect to your Posts to enable us to provide, improve, and notify you about new features within Quelper. You understand and agree that we may need to make changes to your Posts to conform and adapt those Posts to the technical requirements of networks, devices, services, or media, and this license includes the rights to do so. For example, we may need to modify your publication to make sure it is viewable on an iPhone as well as a computer.
  • Public Posts: If you share a Post with other users on Quelper, then you grant us the license above, as well as a license to display, perform, and distribute your Post. Also, you grant all other users of Quelper a license to access the Post, and to use and exercise all rights in it, as permitted by the functionality of Quelper.
  • Term of License: You agree that the licenses you grant are royalty-free, perpetual, irrevocable, and worldwide. This is a license only – your ownership in Posts is not affected.

We reserve the right to remove any content from Quelper at any time, for any reason (including, but not limited to, if someone alleges you contributed that content in violation of these Terms), in our sole discretion, and without notice.

6. Intellectual Property and Reporting Infringement

We respect others’ intellectual property rights, and we reserve the right to delete or disable content alleged to be infringing, and to terminate the accounts of repeat alleged infringers. You promise to abide by copyright notices, trademark rules, information, and other restrictions you may receive from us or that are posted on Quelper.

You understand that we own Quelper. These Terms don’t grant you any right, title or interest in Quelper, or our trademarks, logos, and other intellectual property.

7. Acceptable Use Policy

You are responsible for all your activity in connection with Quelper! Make sure that you use Quelper in a manner that complies with the law. If your use of Quelper is prohibited by applicable laws, then you aren’t authorized to use Quelper. We can’t and won’t be responsible for you using Quelper in a way that breaks the law.

You also agree that you will not contribute any Post or otherwise use Quelper in a manner that:

  • Is fraudulent or threatening, or in any way violates Quelper’s Content Guidelines;
  • Jeopardizes the security of your Quelper account or anyone else’s;
  • Attempts, in any manner, to obtain the password, account, or other security information of any other user;
  • Violates the security of any computer network, or cracks any passwords or security encryption codes;
  • Runs Maillist, Listserv, any form of auto-responder or “spam” on Quelper;
  • “Crawls,” “scrapes,” or “spiders” any page, data, or portion of Quelper (through use of manual or automated means);
  • Copies or stores any significant portion of the content on Quelper;
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to Quelper.
  • Conditions access to any off-platform content, file store, chat, or resource on a Quelper purchase, subscription, or membership, or otherwise delivers paid value outside Quelper (see Section 4.1);
  • Uses Quelper to redirect, funnel, or solicit users to a competing or external platform, or to complete a transaction off-platform;
  • Circumvents, or attempts to circumvent, Quelper’s Platform Fee, payment and escrow flow, or content moderation.

8. Limitation of Liability

To the fullest extent allowed by applicable law, under no circumstances and under no legal theory shall Quelper, its licensors, or its suppliers be liable to you or to any other person for:

  • Any indirect, special, incidental, or consequential damages of any kind, or
  • Any amount, in the aggregate, in excess of the greater of (1) $100 or (2) the amounts paid and/or payable by you to us in connection with Quelper in the twelve-month period preceding the applicable claim.

9. No Warranties

Quelper is provided to you on an “as-is” basis. This means we provide it to you without any express or implied warranties of any kind. That includes any implied warranties of merchantability, warranties of fitness for a particular purpose, non-infringement, or any warranty that the use of Quelper will be uninterrupted or error-free.

10. Terminating Your Account

Quelper is free to terminate (or suspend access to) your use of Quelper, or your account, for any reason at our discretion. We will try to provide advance notice to you prior to our terminating your account so that you are able to retrieve any important Posts you may have uploaded to your account, but we may not do so if we determine it would be impractical, illegal, not in the interest of someone’s safety or security, or otherwise harmful to the rights or property of Quelper.

11. Miscellaneous Terms

Indemnification: To the fullest extent allowed by applicable law, you agree to indemnify and hold Quelper, its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of Quelper (including any actions taken by a third party using your account), and (b) your violation of these Terms.

Arbitration and Class Action Waiver: Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in New Castle County, Delaware... To the fullest extent permitted by law, you and Quelper LLC agree that all claims against the other can only be brought in an individual capacity, and not as a plaintiff or class member in any purported class action.

Choice of Law: These Terms are governed by and will be construed under applicable federal law and the laws of the State of Delaware.
